Terms of Service
Please read these Terms of Service carefully before using Veloria Circuit services. These terms govern your access to and use of our telecommunications consulting, network architecture design, VoIP implementation, and custom software development services.
1. Acceptance of Terms
By accessing or using any services provided by Veloria Circuit, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services. These terms apply to all clients, consultants, partners, and users of our services.
Veloria Circuit reserves the right to modify these Terms of Service at any time. We will notify clients of material changes through email or written notice. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
2. Service Descriptions
2.1 Telecommunications Consulting
Veloria Circuit provides expert consulting services for telecommunications infrastructure optimization, cost reduction strategies, technology adoption planning, and compliance guidance. Our consulting engagements are customized to each client's specific requirements and delivered according to mutually agreed project scopes.
Consulting deliverables may include written reports, technical documentation, strategic recommendations, implementation roadmaps, and ongoing advisory support. All recommendations are based on industry best practices and our professional expertise, but outcomes depend on proper implementation and external factors beyond our control.
2.2 Network Architecture Design
We design comprehensive telecommunications network architectures tailored to organizational needs, including physical infrastructure layouts, logical network topologies, redundancy planning, scalability frameworks, and security architectures. Our designs incorporate current industry standards and future-proof principles.
Architectural deliverables include detailed technical specifications, network diagrams, equipment recommendations, implementation timelines, and documentation. Actual deployment and hardware procurement remain the responsibility of the client unless specifically contracted as part of an expanded engagement.
2.3 VoIP and Unified Communications Implementation
Veloria Circuit manages complete VoIP system deployments, including requirements analysis, vendor selection, system configuration, integration with existing infrastructure, user training, and post-implementation support. We ensure seamless transitions from legacy systems to modern unified communications platforms.
Our implementation services cover session border controllers, PBX systems, SIP trunking, call routing configuration, voicemail integration, presence systems, and quality of service optimization. We coordinate with telecommunications carriers and equipment vendors on behalf of clients to ensure successful deployments.
2.4 Custom Software Development
We develop proprietary software solutions for telecommunications resource management, including dashboard applications, monitoring systems, reporting tools, automation platforms, and integration middleware. All software is built to client specifications using modern development practices and industry-standard technologies.
Software deliverables include source code, compiled applications, technical documentation, user guides, and ongoing maintenance support as contracted. Intellectual property rights are transferred to clients upon full payment unless otherwise specified in project agreements.
3. Client Obligations
3.1 Information Accuracy
Clients must provide accurate, complete, and current information regarding their telecommunications infrastructure, business requirements, technical constraints, and organizational objectives. Veloria Circuit relies on client-provided information to deliver appropriate recommendations and solutions.
Clients are responsible for disclosing all relevant technical, contractual, and operational constraints that may impact project deliverables. Failure to provide accurate information may result in suboptimal outcomes and does not constitute grounds for service disputes.
3.2 Access and Cooperation
Clients must provide Veloria Circuit with necessary access to facilities, systems, personnel, and documentation required to perform contracted services. This includes network access credentials, system documentation, vendor contact information, and access to key stakeholders for consultation.
Clients agree to respond promptly to information requests, approve deliverables within reasonable timeframes, and provide feedback necessary for project progression. Delays caused by lack of client cooperation may result in project timeline extensions and additional costs.
3.3 Third-Party Coordination
When projects involve third-party vendors, carriers, or service providers, clients are responsible for managing those relationships unless Veloria Circuit has explicitly agreed to serve as primary coordinator. Clients must ensure that third parties provide necessary cooperation and fulfill their contractual obligations.
4. Payment Terms
4.1 Fees and Pricing
Service fees are established in individual project agreements and may be structured as fixed-price contracts, time-and-materials arrangements, or retainer-based engagements. All fees are quoted in United States dollars unless otherwise specified.
Quoted prices include only services explicitly described in project agreements. Additional work requested beyond the original scope will be billed separately at our then-current rates or according to mutually agreed pricing for change orders.
4.2 Invoicing and Payment
Invoices are issued according to payment schedules outlined in project agreements, typically on milestone completion or monthly billing cycles. Payment is due within thirty days of invoice date unless alternative terms have been negotiated in writing.
Accepted payment methods include wire transfer, ACH transfer, company check, and major credit cards. Clients are responsible for all transaction fees, currency conversion costs, and international transfer charges associated with payments.
4.3 Late Payments
Overdue balances accrue interest at the rate of one and one-half percent per month or the maximum rate permitted by law, whichever is lower. Veloria Circuit reserves the right to suspend services for accounts with payments more than thirty days overdue.
Clients remain responsible for all costs associated with collection of overdue amounts, including reasonable attorney fees, collection agency fees, and court costs.
5. Intellectual Property Rights
5.1 Client Materials
Clients retain all intellectual property rights to materials, data, documentation, and information provided to Veloria Circuit. We maintain confidentiality of client materials and use them solely for delivering contracted services.
5.2 Veloria Circuit Materials
Veloria Circuit retains intellectual property rights to our methodologies, frameworks, templates, tools, and general industry knowledge. Clients receive limited licenses to use deliverables created specifically for their projects, but may not resell, redistribute, or claim authorship of our proprietary materials.
5.3 Custom Developments
For custom software development projects, intellectual property ownership is transferred to clients upon full payment unless otherwise specified in project agreements. Veloria Circuit retains rights to underlying frameworks, libraries, and reusable components not specifically created for the client project.
6. Confidentiality
Veloria Circuit maintains strict confidentiality regarding all client information, technical specifications, business strategies, financial data, and proprietary systems encountered during service delivery. We implement appropriate security measures to protect confidential information from unauthorized disclosure.
Our confidentiality obligations survive project completion and continue indefinitely except where information becomes publicly available through no fault of Veloria Circuit, is independently developed without reference to client materials, or must be disclosed pursuant to legal requirements.
Clients grant Veloria Circuit permission to use their company name and general project descriptions in our portfolio and marketing materials unless specifically prohibited in project agreements. We do not disclose confidential technical details or business-sensitive information in such materials.
7. Warranties and Disclaimers
7.1 Service Warranties
Veloria Circuit warrants that services will be performed with professional care and skill consistent with industry standards. We warrant that custom software deliverables will substantially conform to agreed specifications for a period of ninety days following delivery.
Our sole obligation under these warranties is to re-perform deficient services or correct software defects at no additional charge. These warranties do not cover issues arising from client modifications, improper use, or environmental factors beyond our control.
7.2 Disclaimer of Other Warranties
Except for express warranties stated herein, Veloria Circuit provides services on an "as is" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will meet all client requirements, operate without interruption, or be completely error-free. Telecommunications systems involve complex interdependencies and external factors that may affect outcomes despite proper professional execution.
8. Limitation of Liability
Veloria Circuit's total liability for any claims arising from or related to our services, regardless of the form of action, shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
In no event shall Veloria Circuit be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.
These limitations apply to all claims based on warranty, contract, tort, strict liability, or any other legal theory. Some jurisdictions do not allow limitation of incidental or consequential damages, so these limitations may not apply in all cases.
9. Indemnification
Clients agree to indemnify, defend, and hold harmless Veloria Circuit, its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:
- Client's breach of these Terms of Service or project agreements
- Client's violation of applicable laws or regulations
- Client's negligent or wrongful acts or omissions
- Disputes between client and third-party vendors or service providers
- Claims that client-provided materials infringe third-party intellectual property rights
10. Term and Termination
10.1 Project Duration
Individual project engagements continue until completion of deliverables as defined in project agreements. Ongoing retainer arrangements continue on a month-to-month basis unless terminated by either party with thirty days written notice.
10.2 Termination for Cause
Either party may terminate a project agreement immediately upon written notice if the other party materially breaches these terms and fails to cure such breach within thirty days of receiving written notice specifying the breach.
10.3 Termination for Convenience
Clients may terminate projects for convenience with thirty days written notice. Upon such termination, clients remain obligated to pay for all services performed and expenses incurred through the effective termination date, plus a cancellation fee equal to twenty-five percent of remaining project fees.
10.4 Effects of Termination
Upon termination, Veloria Circuit will deliver all completed work products and client materials in our possession. Clients must pay all outstanding invoices within fifteen days of termination. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, telecommunications failures, cyber attacks, pandemics, or other force majeure events.
The affected party must provide prompt notice of force majeure circumstances and make reasonable efforts to mitigate impacts. Project timelines will be extended by the duration of the force majeure event. If delays exceed ninety days, either party may terminate the affected project without penalty.
12. Independent Contractor Relationship
Veloria Circuit operates as an independent contractor, not as an employee, agent, partner, or joint venturer of the client. We maintain sole control over how services are performed and are responsible for our own taxes, insurance, and regulatory compliance.
Nothing in these terms creates an employment relationship, agency relationship, or authority for either party to bind the other to commitments or obligations without express written authorization.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal dispute resolution procedures, parties agree to attempt good-faith negotiations to resolve disagreements. Either party may initiate negotiations by providing written notice describing the dispute and proposed resolution.
13.2 Mediation
If informal negotiations do not resolve a dispute within thirty days, parties agree to participate in mediation administered by a mutually acceptable mediator or mediation service. Mediation costs will be shared equally by both parties.
13.3 Arbitration
Disputes not resolved through mediation shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall take place in Louisville, Kentucky unless otherwise agreed. The arbitrator's decision shall be final and binding.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in court for breaches of confidentiality obligations or intellectual property infringement without first pursuing mediation or arbitration.
14. General Provisions
14.1 Governing Law
These Terms of Service are governed by the laws of the Commonwealth of Kentucky and the United States, without regard to conflicts of law principles. Any litigation arising from these terms shall be brought exclusively in state or federal courts located in Jefferson County, Kentucky.
14.2 Entire Agreement
These Terms of Service, together with individual project agreements, constitute the entire agreement between parties regarding services provided by Veloria Circuit and supersede all prior or contemporaneous communications, proposals, and agreements.
14.3 Amendments
Modifications to these terms must be made in writing and signed by authorized representatives of both parties. Project-specific amendments may be documented in change order agreements or statement of work addendums.
14.4 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.5 Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative.
14.6 Assignment
Clients may not assign or transfer these terms or any project agreements without prior written consent from Veloria Circuit. We may assign our rights and obligations to affiliated entities or in connection with mergers, acquisitions, or business transfers.
14.7 Notices
All notices required under these terms must be in writing and delivered by email with confirmation of receipt, courier service, or certified mail to the addresses specified in project agreements. Notices are deemed effective upon receipt.
